Terms of Service

01Introduction

These Terms of Service ("Terms") govern your access to and use of the services, websites, and software products provided by Quantum Automations Group Ltd ("we", "us", "our", "Quantum Automations"), a company registered in England and Wales under company number 17190497, with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ.

By accessing our website (quantumautomations.ai) or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

02Definitions

"Services" means the IT consulting, AI automation, software development, SaaS products, and any other professional services provided by Quantum Automations.

"Client" means any individual or entity that engages Quantum Automations for Services under a separate agreement, statement of work, or order form.

"User" means any person who accesses our website or uses our software products.

"Software Products" means any SaaS platforms, applications, APIs, or tools developed and operated by Quantum Automations.

03Services

We provide AI consulting, automation solutions, software development, and SaaS products to business clients. Specific terms for consulting engagements are governed by individual statements of work or service agreements entered into with Clients.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

04Accounts

If you create an account on any of our Software Products, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use.

We reserve the right to suspend or terminate accounts that violate these Terms or that pose a security risk.

05Acceptable use

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to our systems, networks, or data
• Reverse engineer, decompile, or disassemble any of our Software Products
• Transmit any malicious code, viruses, or harmful content
• Use our Services to infringe on the intellectual property rights of others
• Resell, redistribute, or sublicense our Services without our written consent
• Scrape, crawl, or use automated tools to extract data from our website or products without permission

06Intellectual property

All content, software, designs, trademarks, and materials on our website and within our Software Products are the property of Quantum Automations or our licensors and are protected by intellectual property laws.

Our IP: we retain all rights, title, and interest in our Services, Software Products, methodologies, frameworks, and pre-existing intellectual property. Nothing in these Terms transfers ownership of our IP to you.

Client IP: Clients retain ownership of their data, content, and pre-existing intellectual property. Unless otherwise specified in a separate agreement, any custom work product created specifically for a Client under a statement of work shall be assigned to the Client upon full payment.

Feedback: if you provide us with suggestions, ideas, or feedback about our Services, you grant us a non-exclusive, royalty-free, perpetual, worldwide licence to use, modify, and incorporate that feedback into our Services.

07Fees and payment

Fees for our Services are set out in individual agreements, proposals, or order forms. Unless stated otherwise:

• Invoices are payable within 30 days of the invoice date
• All fees are exclusive of applicable taxes (VAT, sales tax, etc.)
• Late payments may incur interest at 4% above the Bank of England base rate
• We reserve the right to suspend Services for overdue accounts

For SaaS subscriptions, billing terms are specified at the time of purchase. You may cancel your subscription in accordance with the cancellation terms provided.

08Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in connection with the Services. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or to professional advisers bound by confidentiality obligations.

This obligation survives termination of these Terms for a period of 3 years.

09Warranties and disclaimers

We provide our Services with reasonable skill and care. However, to the maximum extent permitted by law:

• Our website and Software Products are provided "as is" and "as available"
• We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components
• We do not warrant that our Services will meet your specific requirements unless expressly agreed in a separate agreement
• We make no warranties regarding the results or outcomes of our consulting services

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10Limitation of liability

To the maximum extent permitted by law:

• Our total aggregate liability arising out of or in connection with these Terms shall not exceed the fees paid by you to us in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, business opportunities, or goodwill
• We shall not be liable for any losses arising from circumstances beyond our reasonable control

11Indemnification

You agree to indemnify and hold harmless Quantum Automations, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of our Services.

12Term and termination

These Terms remain in effect for as long as you use our Services. We may terminate or suspend your access to our Services at any time for material breach, with written notice.

Upon termination, your right to use our Services ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

13Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

14Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

15Miscellaneous

Entire agreement: these Terms, together with any applicable service agreements, constitute the entire agreement between you and Quantum Automations regarding the subject matter hereof.

Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: you may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor.
